Enterprise Terms of Use

Parties and scope

These Enterprise Terms of Use (“Enterprise Terms”) govern access to Ink & Proof by institutional organizations (“Organization”) and their authorized end users (“Members”). By registering an organization account and accepting these Terms, the registering administrator (“Administrator”) represents that they have authority to bind the Organization.

These Enterprise Terms supplement the general Terms of Use, which continue to apply in full to Organizational accounts — including the Terms’ disclaimer of warranties, limitation of liability, indemnification, and governing-law and arbitration provisions. In the event of a conflict between the two as applied to an Organizational account, these Enterprise Terms control.

Organization accounts and seats

An Organization purchases a number of seats. Each seat entitles one Member to unlimited proof creation while the Organization’s subscription is active. Seats are non-transferable between Organizations. The number of active Members may not exceed the purchased seat count at any time; the service enforces this automatically.

Owners do not consume a seat. The Administrator is solely responsible for ensuring the Organization complies with these Terms.

Domain verification and automatic enrollment

After registering, the Organization must verify ownership of its domain via a DNS TXT record. Once verified, individuals who create an Ink & Proof account using an email address at the verified domain will be automatically enrolled as Members and covered by the Organization’s plan, subject to seat availability and join-mode settings.

The Organization is responsible for ensuring that only authorized individuals use the verified domain for sign-up. If the Organization believes its domain has been misused, it must notify Ink & Proof immediately.

Minors and consent

Self-serve organization accounts are intended for higher-education and adult (18+) users. If an Organization’s Members include individuals under the age of 18, the Organization is solely responsible for:

  • Determining whether such use is appropriate, and obtaining and maintaining any legally required parental or guardian consent;
  • Compliance with the Family Educational Rights and Privacy Act (“FERPA”), the Children’s Online Privacy Protection Act (“COPPA”), and any analogous state or international student-data-privacy law; and
  • Ensuring that minor users have received age-appropriate notices regarding data collection and use.

By registering an organization account, the Administrator represents that the Organization has complied or will comply with these requirements before granting access to any minor users. Ink & Proof does not act as a “school official” for purposes of FERPA and makes no representation that the Service satisfies any particular institution’s regulatory obligations. Institutions with K–12 or minor populations should contact us before deployment to discuss whether a separate data processing agreement is appropriate.

Data and privacy

Ink & Proof collects and processes session metadata (writing duration, edit events, paste events) and proof records for Members under the Organization’s account. This data is used solely to generate and verify Proofs. We do not sell this data, share it with the Organization’s administrators, or use it to train AI models.

Public Proofs are published at the Member’s direction. Draft content and session details are not accessible to Organization administrators; administrative access is limited to subscription, seat, and billing management.

Billing and cancellation

The Organization is billed annually in advance per seat via Stripe. Seat counts may be adjusted through the Stripe Billing Portal. Downgrading below the current active-member count does not remove members; it prevents new members from joining until seats are added or members are removed.

If the subscription is canceled or lapses, Members’ plans revert to the free tier. Their drafts, proofs, and data are retained.

Administrator responsibilities

The Administrator is responsible for managing Member access, including adding and removing Members, configuring join mode, and ensuring the Organization’s use of the Service complies with applicable law and institutional policy. The Organization is responsible for all activity occurring under its seats, including activity by its Members, and for ensuring its Members are made aware of, and agree to, the general Terms of Use and these Enterprise Terms before using the Service.

Indemnification by the Organization

In addition to the indemnification obligations in the general Terms of Use, the Organization agrees to defend, indemnify, and hold harmless Ink & Proof and its officers, directors, employees, founders, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from the acts or omissions of its Administrators or Members in connection with the Service, including any failure described under “Minors and consent” above. This indemnification runs from the Organization to Ink & Proof only; Ink & Proof does not indemnify the Organization or its Members except as expressly stated in a separately executed written agreement.

Liability, governing law, and disputes

The disclaimer of warranties, limitation of liability (including the liability cap), governing law, and arbitration and class-action-waiver provisions of the general Terms of Use apply in full to the Organization and govern any dispute relating to an Organizational account, in addition to the indemnification obligation above.

Changes to these terms

We may update these Enterprise Terms. We will provide notice to the billing email on record and update the version number above. Continued use of the organization account after the effective date of an updated version constitutes acceptance.
